Nayax Ltd. (NASDAQ:NYAX) shares jumped more than 12% on Tuesday after the payments company said it would buy IPS Group Inc., a provider of smart parking technology, for $350 million in cash. The market clearly likes the move, and it's not hard to see why: this isn't just a parking meter company, it's a gateway to a whole ecosystem of urban mobility payments.

A Parking Platform With Global Ambitions
Nayax is acquiring IPS from Windjammer Capital Investors on a cash-free, debt-free basis. The price works out to about 17 times IPS's estimated 2026 adjusted EBITDA, which drops to roughly 12 times once you factor in expected synergies. That's a reasonable multiple for a company with this kind of growth profile.
IPS makes connected parking meters, mobile payment systems, enforcement software, and curb-management tools. Its tech supports more than 250,000 parking spaces across the U.S., U.K., Ireland, and Canada. That's a solid footprint, but the real opportunity is what Nayax can do with it.
Nayax operates in over 120 countries, and the plan is to push IPS's platform into Continental Europe while also cross-selling electric vehicle charging services. Think of it as taking a strong regional player and giving it a global distribution network. That's the kind of synergy that gets investors excited.
IPS's Growth Story
IPS is projecting 2026 revenue to exceed $90 million, with recurring sales making up more than 60% of that. The company expects about 20% organic revenue growth and adjusted EBITDA of roughly $21 million. Those are solid numbers, and they suggest IPS isn't a mature, stagnant business—it's still growing at a healthy clip.
Nayax says the acquisition will immediately improve its gross margin, adjusted EBITDA margin, adjusted earnings per share, and free cash flow conversion. That's a strong vote of confidence, though it's worth noting the deal isn't included in Nayax's current 2026 guidance. So investors shouldn't expect these benefits to show up in the near-term numbers just yet.
Beyond the immediate impact, Nayax expects more than $8 million in annual EBITDA synergies by 2029. That's the kind of long-term value creation that can really move the needle.
Funding and Timeline
Nayax will fund the purchase with available cash and about $150 million in new committed debt. Net leverage is expected to hit roughly 3.8 times at closing, then fall below 3 times by the end of 2027. That's a manageable debt load, especially given the expected cash flow improvements.
The transaction is expected to close in the fourth quarter, pending regulatory approval. IPS's management team will stay on and continue running the business from San Diego, which should help ensure a smooth transition.
