WhiteFiber priced $270 million of 5.00% Convertible Senior Notes due 2032 in a private placement to qualified institutional buyers, up from the previously announced $250 million. Initial purchasers also have an option to buy up to an additional $40 million of notes. The offering is expected to close on August 21, 2026, subject to customary conditions.
The senior unsecured notes will mature on September 1, 2032 and pay 5.00% annual interest semiannually beginning March 1, 2027. The initial conversion rate is 29.5530 shares per $1,000 principal amount, equivalent to a conversion price of approximately $33.84 per share, representing a 25% premium to the August 18 closing price.
WhiteFiber may redeem the notes for cash from September 6, 2030, subject to certain conditions, including the stock price reaching at least 130% of the applicable conversion price for the required trading period. The redemption price will equal 100% of the principal amount plus accrued and unpaid interest.

Cloud Services revenue included approximately $12.3 million related to a previously disclosed customer termination. Gross profit excluding D&A was $17.1 million, with a 59.4% margin, in the quarter.
