Trump Media & Technology Group (DJT) and Crypto.com are pushing ahead with an ambitious plan to launch a publicly traded treasury centered on Cronos blockchain tokens, structuring the deal through a business combination with Yorkville Acquisition Corp. (MCGA).
The Deal Structure
Yorkville has confidentially filed an S-4 with the SEC to create Trump Media Group CRO Strategy, Inc., with Steve Gutterman tapped as CEO and Sim Salzman as CFO. Both executives are expected to take the reins once the deal closes in the first quarter of 2026.
The proposed treasury is designed to hold serious firepower: more than $6 billion in assets. That includes 6.3 billion CRO tokens, $200 million in cash, $220 million in warrants, and a $5 billion equity line of credit. It's a big bet on the Cronos ecosystem, which Crypto.com operates.
There's a catch, though. CRO's recent price slide has been brutal. When the deal was announced, those 6.3 billion tokens were worth roughly $1 billion. Today? About $636 million. That's the joy of crypto volatility hitting a multi-billion-dollar strategy right in the face.
The Long Game
Despite the downturn, both companies are framing this as a long-term play. They plan to run a Cronos validator node that would generate approximately 6% annual percentage yield through staking rewards. That's the steady income angle in an otherwise volatile asset class.
Trump Media has also committed to purchasing $105 million worth of CRO and plans to weave the token throughout Truth Social and Truth+ reward programs. The integration strategy could bring the Cronos token to a significant user base if those platforms continue growing.
A joint statement highlighted CRO as "the backbone of a growing blockchain ecosystem (Cronos). It enables both utility (transactions, fees, governance) and yield generation (staking rewards)."
Whether this treasury becomes a validation of the Cronos ecosystem or a cautionary tale about timing crypto bets will depend largely on where CRO trades over the next few years. For now, it's one of the more unusual public market crypto strategies to emerge from the current administration's orbit.
