Synaptics Inc. (SYNA) shares are getting a modest boost in Friday's premarket session, trading up almost 2%, as the company announced a shake-up in its executive ranks. The move comes as the chipmaker prepares to be absorbed by ON Semiconductor (ON) in a deal that's expected to close next year.
The stock's uptick aligns with a generally positive tone in the broader market, with S&P 500 futures gaining 0.4%.
CFO Transition
Ken Rizvi, Synaptics' chief financial officer, has resigned effective immediately to pursue another opportunity. He'll stick around as an adviser through September 30, 2026, to help smooth the transition.
Here's the interesting part: the company isn't going to look for a replacement. Why bother, when the merger with ON Semi is looming? Instead, CEO Rahul Patel will take on the role of principal financial officer until the deal closes. And Kermit Nolan, who previously served as chief accounting officer, is coming back as a consultant to lend a hand to the finance team.
Merger Deal
Back in June, ON Semi agreed to acquire Synaptics in an all-stock transaction, valuing the company at roughly $7 billion in total enterprise value. Under the terms, Synaptics shareholders will get 1.350 ON Semiconductor shares for each Synaptics share they own. That works out to a premium of about 19% based on the companies' 10-day volume-weighted average closing prices.
The acquisition is expected to close in mid-2027, pending shareholder approval, regulatory clearances, and other customary conditions. Financially, the companies have said the deal should be accretive to non-GAAP earnings per share within 18 months of closing, with anticipated annual synergies of around $200 million.

Synaptics is scheduled to report its next financial results on November 5, 2026 (estimated). Analysts are looking for EPS of $1.08, down slightly from $1.09, and revenue of $316.66 million, up from $292.50 million.
