IP Strategy Holdings, Inc. (NASDAQ: IPST), a micro-cap digital asset company, saw its stock trade lower on Tuesday as investors weighed a new SEC filing following a dramatic surge in the previous session.
The stock had jumped 277% to $8.29 during regular trading on Monday, and added another 13.2% to $8.37 in after-hours trading. But the momentum reversed as the company's latest disclosure hit the wires.
What's Driving IPST Stock?
IP Strategy Holdings filed a Form 12b-25, notifying the SEC that its second-quarter Form 10-Q would be delayed. The company also released preliminary financial results, projecting a net loss of approximately $13.8 million to $17.8 million for the quarter ended June 30, 2026, compared with a $7.3 million loss in the same period last year.
Digital Asset Losses Weigh
The expected quarterly loss includes a roughly $2.9 million to $4.9 million decline in the fair value of intangible digital assets, based on the $DATA token's June 30 closing price, and a $7.4 million to $9.4 million realized loss on digital asset sales.
Quarterly net revenue is expected to come in at approximately $0.39 million to $0.5 million, down from $1.3 million a year earlier. Revenue from the company's $IP token validator service and covered-call program partially offset lower spirits business revenue.
Six-Month Loss Widens
For the first six months of 2026, IP Strategy Holdings expects a net loss of $79.6 million to $85.6 million, compared with $10.3 million in the prior-year period. Net revenue is projected at $2.2 million to $2.6 million, versus $2.4 million a year earlier.
10-Q Filing Delayed
The company said the time required to compile and review its financial information made a timely filing impracticable without undue hardship and expense. It expects to file its Form 10-Q within five calendar days of the original due date.
The disclosed financial figures are preliminary and unaudited.
IP Strategy Holdings operates across digital asset infrastructure, intellectual property management, and craft spirits. Its strategy includes holding $IP tokens tied to the Story ecosystem, giving IPST exposure to digital asset sentiment.
IPST Price Action: IP Strategy Holdings shares were down 3.79% to $7.46 at the time of publication on Tuesday. The stock is trading near its 52-week low of $1.54, according to market data.
