Bending Spoons S.p.A. (NASDAQ: BSP) said Tuesday it has agreed to acquire Airtable in an all-cash transaction. The deal values Airtable at an enterprise value of $1.285 billion. Including the company's net cash and cash equivalents, the implied equity value is about $2.25 billion.
The transaction is expected to close later this year, subject to regulatory approvals and customary closing conditions.
The acquisition marks Bending Spoons' first deal since its Nasdaq listing on July 1, 2026. It also adds Airtable to the company's expanding software portfolio, following its acquisitions of AOL in January and Eventbrite in March.
Under the agreement, Bending Spoons will acquire all outstanding Airtable shares. Both companies will continue operating independently until the transaction closes.
Bending Spoons CEO and co-founder Luca Ferrari said Airtable has built a strong position in workflow management and collaborative software. He noted that Airtable's annual recurring revenue grew more than 20% year over year to about $480 million as of June 2026.
Ferrari said Bending Spoons plans to invest in the platform over the long term, with a focus on expanding product capabilities and accelerating innovation.
Airtable co-founder and CEO Howie Liu said the partnership will provide the resources needed to advance the company's vision of building an AI-native platform. He added that Airtable now serves more than 500,000 organizations, including 80% of the Fortune 100.
Willkie Farr & Gallagher is acting as legal counsel to Bending Spoons, while Goldman Sachs Bank Europe and J.P. Morgan are serving as financial advisors. Latham & Watkins is advising Airtable, with AXOM Partners acting as its financial advisor.
BSP Price Action: Bending Spoons shares were trading higher by 2.84% at $37.25 during premarket trading on Tuesday, according to market data.
