Penguin Solutions (PENG) stock took a hit Monday, dropping more than 10% after the company closed a $750 million convertible notes offering. The deal, announced Friday, is part of a broader refinancing and exchange plan aimed at funding the company's AI infrastructure push.
The stock's decline came despite a broadly positive market, with the Nasdaq up 0.68% and the S&P 500 gaining 0.22%. The drop appears to be a reaction to the dilutive overhang and the complexity of the debt exchange transactions.
Penguin Solutions Raises $750 Million in Convertible Notes
The offering consisted of $750 million in 0% convertible senior notes due 2031, including $100 million from the full exercise of the initial purchasers' option. The notes are senior, unsecured obligations with a 50% conversion premium. To mitigate dilution, Penguin entered into capped call transactions, which the company says will prevent net dilution until the stock price exceeds roughly $175.05 per share.
Debt Exchange Mechanics
Alongside the new notes, Penguin is exchanging about $135.5 million of its 2% convertible notes due 2029 and $160 million of its 2% notes due 2030 for a mix of cash and common stock. The net proceeds from the offering will fund the capped calls, the cash portion of the exchanges, and repay borrowings under its existing credit agreement.

"Demand for memory and AI infrastructure is accelerating as inference and agentic AI workloads move into production at scale," said Kash Shaikh, CEO of Penguin, in a press statement. "This offering extends our debt maturities, reduces cash interest expense, and provides additional strategic flexibility to invest in our AI Factory Platform growth strategy, which is designed to be capital efficient."
PENG Stock: Key Levels and Momentum Analysis
The bigger-picture trend for PENG is still up, but the near-term trend has cracked. The stock is trading 22.6% below its 20-day simple moving average (SMA) of $68.95 and 12.5% below its 50-day SMA of $61.05. However, it remains 27.6% above the 100-day SMA ($41.86) and 70.6% above the 200-day SMA ($31.29), which suggests longer-term bulls may still view this as a pullback within a broader uptrend.
Structurally, the stock still carries a bullish backdrop from the golden cross in May, when the 50-day SMA crossed above the 200-day SMA. Traders will likely watch whether the stock can stabilize and reclaim the 50-day area, or whether this turns into a deeper mean reversion toward the 100-day zone.
