Intel Corp. (INTC) shareholders are living through one of the worst days in the company's history. Strangely, Intel's reported profit could come out ahead.

Shares plunged as much as 30% early Friday, putting the stock on track for its steepest one-day drop since 1974. The sell-off followed Thursday's forecast. Intel guided fourth-quarter revenue of $15 billion to $16 billion, below the $17.05 billion analysts expected, citing a PC slowdown and a deadly explosion at its Israel factory.

Yet the results also reveal a twist: the lower Intel's stock goes, the better its reported profit can look.

A Deal That Works in Reverse

The quirk traces back to Intel's 2025 agreement with the U.S. Commerce Department. The deal closed on Aug. 27, 2025, when Intel issued about 275 million shares directly to the government and placed another 159 million in escrow. Those escrowed shares are released only as Intel receives payments under a CHIPS Act program called Secure Enclave, with each share counting as $20 of those payments, according to the agreement.

Intel carries the unreleased shares as an obligation that moves with its stock price. When the stock rises, the obligation grows and Intel books a loss. When it falls, Intel books a gain. These accounting gains and losses do not themselves involve any cash changing hands.

Intel spells it out in its latest quarterly filing: "We expect to recognize further such gains or losses in future periods based on future decreases or increases of our stock price, as the case may be."

Billions in Both Directions

In the second quarter, as the stock rallied, the mechanism produced a $12.5 billion loss. That helped push Intel to an $11 billion net loss in a quarter it said delivered its strongest revenue growth in more than 15 years.

When the stock slipped in the third quarter, the math flipped. Intel booked a $1 billion gain, equal to about 30% of its $3.32 billion net income. Intel's own reconciliation shows the gain accounted for a 17-cent-per-share adjustment. That is more than twice the 8-cent gap between its 60-cent reported earnings and 52-cent adjusted earnings.

The Fourth-Quarter Wild Card

As of Sept. 26, 132 million shares remained in escrow, with a total accounting value of $13.7 billion. That works out to roughly $104 per share, close to Intel's $123 stock price at the end of September minus the $20 per-share payment value.

Assuming those shares stay in escrow and other valuation factors hold broadly steady, each $1 decline in Intel's stock would trim roughly $132 million from the obligation. On that simplified math, Friday's drop alone could generate a pre-tax accounting gain of about $3.4 billion. The full decline since late September could generate roughly $7.5 billion.

Those are estimates, not forecasts. The actual effect on Intel's net income would depend on taxes and other accounting factors. It would also depend on where the stock sits when the quarter ends on Dec. 26, and on how many shares are released before then.

For perspective, Intel forecast fourth-quarter reported earnings of just 10 cents per share. Its published forecast contains no separate adjustment for a future gain from the escrowed shares.

The gain would not add a dollar of cash. Intel excludes it from the adjusted earnings Wall Street watches most closely.
