The market saw potential dilution. BNP Paribas sees a chance for Marvell Technology, Inc. (MRVL) to become a more formidable player in AI infrastructure. Reported acquisition talks with laser specialist Lumentum Holdings Inc. (LITE) sent Marvell shares sliding by over 11% by 11:30 AM ET on Thursday, even as analyst Karl Ackerman argued the deal could strengthen its position in the high-margin optical components that next-generation AI data centers increasingly need.

A Deal With an $83 Billion Price Tag
According to Bloomberg's report, the companies are in advanced talks, with a deal potentially announced as early as next week. No final agreement has been reached.
The financial mismatch helps explain investors' reaction. Lumentum has a market capitalization of roughly $83 billion, compared with Marvell's approximately $221 billion. The target's size raises questions about how Marvell would finance the transaction and how much existing shareholders could be diluted.
But Ackerman argues the acquisition could help Marvell capture more value from the hardware connecting increasingly powerful AI systems.
Why Optics Matter to AI
Marvell already has a leading optical digital signal processor (DSP) portfolio, while Lumentum brings laser technologies used to transmit data at high speeds. BNP Paribas estimates these two components collectively account for about 75% of a traditional PAM4 optical transceiver's bill of materials.
Combining the businesses could give Marvell a more integrated offering as data centers move toward near-packaged optics and co-packaged optics, which bring optical connections closer to computing and switching chips. The shift is designed to support faster data rates and larger AI clusters.
The competitive comparison is important. According to Ackerman, Broadcom Inc. (AVGO) is currently the only provider combining compute and switch silicon with an in-house laser portfolio. A Lumentum acquisition could help Marvell build a more vertically integrated business and compete across a wider range of AI networking components.
Nvidia Corp (NVDA) also has a stake in the outcome. The chipmaker invested $2 billion in each of Marvell and Lumentum in 2026, primarily to secure optical-component supply, according to BNP Paribas. Ackerman believes a combination could create a more integrated supplier as Nvidia advances its own optical networking roadmap.
The Revenue Opportunity
The potential growth is substantial. BNP Paribas estimates Marvell could generate approximately $28 billion in calendar-year 2027 revenue if the acquisition closes, up about 69% year over year. Its standalone forecast is roughly $20 billion, representing 66% growth.
Separately, the firm expects the data-center optical transceiver market to grow from about $35 billion in 2026 to $91 billion by 2030, driven by demand for faster connections and next-generation AI processors.
Ackerman maintains an Overweight rating on Marvell with a $335 price target, implying 33% upside from its Oct. 28 close of $251.70. That view reflects the strategic opportunity, not a guarantee that the deal will proceed or create shareholder value.
For investors, the trade-off is clear: Marvell could gain a stronger position in AI optics, but the financing, dilution and execution risks remain unresolved. The strategic logic may look compelling; the price of getting there will matter just as much.
