SciSparc (SPRC) stock is having a day. Shares were up more than 157% to $11.31 on Thursday, far outpacing the Nasdaq's 0.63% gain and the S&P 500's 0.41% rise. The catalyst? A regulatory milestone for the company's majority-owned subsidiary.
SciSparc announced that its subsidiary, NeuroThera Labs Inc., received conditional approval from the TSX Venture Exchange. That approval clears the way for NeuroThera to acquire an approximate 54% majority stake in CliniQuantum Ltd., a private Israeli tech company.
Here's the deal structure: Under the share purchase agreement disclosed in March, NeuroThera will acquire 56,375 ordinary shares of CliniQuantum. In exchange, NeuroThera will issue 56.6 million of its own common shares to the selling shareholders, valued at about $9.459 million.
So what does CliniQuantum actually do? It develops a platform that applies quantum simulation and quantum Monte Carlo methods to clinical trial data analysis. The idea is to improve the precision of trial outcomes by identifying specific patient subpopulations that respond to investigational therapies. Think of it as using quantum computing to find the needle in the haystack — the patients who actually benefit from a drug.
CliniQuantum's key asset is an exclusive, worldwide license agreement with Quantum X Labs Ltd., which holds a U.S. provisional patent application titled "Generating Quantum Markov Chain Monte Carlo Sampling Points for Continuous Distribution Functions." It's a mouthful, but essentially it's a method for better sampling in statistical models.
The deal wasn't a straight shot. To satisfy TSX feedback, NeuroThera and the selling shareholders amended the agreement on April 30. The amendment sets a floor price of 5 cents per common share for future earn-out payments and includes lock-up arrangements. The parties also extended the outside closing date to June 1 to finalize an Israeli tax ruling. Upon closing, all 56.6 million consideration shares will go into escrow under a Form 5D Escrow Agreement.
So, SciSparc shareholders are betting that this quantum-powered clinical data analysis will be a game-changer. For now, the market is rewarding the progress with a massive rally.
